TERMS OF SERVICE & CONTENT LICENSE Effective Date: September 7, 2026 Welcome to Walter Lim. By purchasing, accessing, enrolling in, or using our coaching, training programs, courses, assessments, website, or related materials, you agree to these Terms of Service. 1. SERVICES Walter Lim provides professional communication, executive presence, presentation, leadership communication, confidence, and related coaching and training services. Services may include individual coaching, corporate training, assessments, live sessions, recorded content, exercises, worksheets, written materials, online programs, and other educational resources. 2. INTELLECTUAL PROPERTY All original training materials and content provided through Walter Lim, including but not limited to: Training modules and curricula Assessments Exercises and activities Worksheets and workbooks Videos and recordings Presentations and slides Written materials Training frameworks and models Course materials Website content Graphics and original instructional materials are owned by or licensed to Walter Lim and are protected by applicable intellectual property laws. © 2026 Walter Lim. All Rights Reserved. 3. LIMITED PERSONAL LICENSE Purchasing or receiving access to our services does not transfer ownership of our content to you. You receive a limited, personal, non-exclusive, non-transferable license to use the materials solely for your own personal or authorized internal professional development. Unless Walter Lim provides prior written permission, you may not: Copy or reproduce the materials for others. Share course access, passwords, videos, worksheets, or materials with another person. Sell, sublicense, distribute, publish, or commercially exploit the materials. Upload or distribute the materials on another website, platform, course, social-media account, file-sharing service, or training system. Record coaching or training sessions without permission. Use Walter Lim materials to create or deliver another coaching, consulting, or training program. Represent Walter Lim materials as your own. Remove copyright, ownership, or proprietary notices from the materials. 4. CORPORATE CLIENTS Materials provided to an organization are limited to the employees or participants specifically authorized under that organization's agreement. An organization may not reproduce, distribute, or use the materials for company-wide training or train additional employees unless that use has been specifically authorized in writing by Walter Lim. 5. CONFIDENTIAL AND PROPRIETARY MATERIAL Certain training materials, assessments, exercises, methodologies, program structures, and other resources may be identified as proprietary or confidential. Participants agree not to disclose or distribute such materials except as expressly authorized. 6. USER RESPONSIBILITIES You are responsible for maintaining the confidentiality of any account credentials provided to you. You may not allow another person to use your account or access restricted program materials through your account. 7. COACHING AND TRAINING RESULTS Coaching and training are educational and developmental services. Individual results vary. Walter Lim does not guarantee any particular employment, promotion, compensation, business, speaking, leadership, or other professional outcome. 8. PAYMENTS, CANCELLATIONS AND REFUNDS Prices, payment schedules, cancellation terms, and refund eligibility applicable to a particular service or program will be disclosed at or before purchase. Unless otherwise stated in writing, purchasing a program does not guarantee a particular professional result. 9. TERMINATION OF ACCESS Walter Lim may suspend or terminate access to services or proprietary materials if a participant materially violates these Terms, including unauthorized copying, sharing, distribution, resale, or misuse of the materials. Termination of access does not transfer or eliminate Walter Lim's intellectual-property rights. 10. THIRD-PARTY SERVICES The website or programs may use or link to third-party platforms or services. Walter Lim is not responsible for the availability, security, privacy practices, or independent content of third-party services. 11. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Walter Lim will not be liable for indirect, incidental, special, or consequential damages resulting from the use of the services or training materials. Nothing in these Terms excludes liability that cannot legally be excluded or limited. 12. CHANGES TO THESE TERMS These Terms may be updated periodically. The current version and effective date will be posted on the website. Changes will apply prospectively except where otherwise permitted by applicable law or agreed with the client. 13. GOVERNING LAW These Terms will be governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles, except where applicable law requires otherwise. 14.
